Closing of the restructuring of the Hafslund ASA group

CLP has assisted Fortum in connection with the closing of the restructuring of the Hafslund ASA group, one of the largest listed power groups in the Nordic region.

Following the takeover and delisting of Hafslund ASA, Hafslund ASA has been demerged into four business areas of which Fortum has acquired 100% of Hafslund Marked, 50% of Hafslund Varme (co-owned with Oslo kommune, with Fortum as the controlling party) and 10% of Hafslund Produksjon (co-owned with E-CO). Oslo kommune has in addition taken over Hafslund Nett and certain other assets and sold Klemetsrudanlegget to Hafslund Varme.

The transaction is unprecedented in Norway and represents the largest-ever transaction in the Norwegian utilities sector.
